The Board
The Board comprises two non-executive directors and four
executive directors and is responsible to shareholders for the proper management
of the group. Under the chairmanship of Lord Sheppard, the Board normally meets monthly.
In addition, the executive directors regularly meet on a formal basis with senior managers
within the group to consider and review operational performance and financial management.

Audit Commitee
The Audit Committee is chaired by Mark Loveland and comprises the non-executive directors.
By invitation, the executive directors may be present at a meeting as considered appropriate.
The Audit Committee meets with the independent auditors and advises the Board on their
appointment as well as the publication of financial information.

Remuneration Committee
The Remuneration Committee is chaired by M Loveland and comprises the
non-executive directors. The committee determines the contract terms and remuneration
for the executive directors and other senior staff.
The Remuneration Committee is also responsible for awarding share options within the group.

Nomination Committee
The Board, chaired by Lord Sheppard, as a whole takes responsibility for the nomination of new
directors and ensuring it remains appropriately balance, experienced and skilled in its composition. |

Lord Sheppard of Didgemere is non-executive Chairman. Lord Sheppard was previously Group Chief Executive (1986 - 1993) and Group Chairman (1987 - 1996) of Grand Metropolitan plc, and is currently Chairman of GB Railways plc, McBride plc, the Unipart Group of Companies, Group Trust plc and London First. Lord Sheppard's other directorships and interests include being a director of the London Development Partnership, a Governor of the London School of Economics and a Vice-President of Business in the Community. He was appointed non-executive Chairman of OneClickHR in May 1999.

| Mark Loveland, Non-Executive Director |

Mark Loveland is a non-executive Director and head
of the audit committee and remuneration committee. Mark was Head of European Technology Strategy
for the Investment Bank JP Morgan until 2002. Prior to that he was working at Dresdner Kleinwort
Benson as the Head of European Technology Research. He has vast experience working with Technology
companies and has floated and raised equity capital for over 50 public companies. He was educated
at Eltham College and Oxford University. Mark is also a non-executive director at Manpower Software
plc and IBS Open Systems plc. |

| Frank Beechinor-Collins MBA, Chief Executive Officer |

Frank Beechinor is CEO. Prior to founding OneClickHR with Peter Sedman,
Frank worked as a marketing and sales strategy adviser for Paladin Solutions, an HR software development company.
Before joining Paladin Solutions, Frank was the marketing manager for Grand Metropolitan Community Services Trust, the
community affairs arm of Grand Metropolitan plc. Frank has a BSc from University College, Cork and an MBA from Henley
Management College. He has been CEO since he co-founded OneClickHR, in September 1996. |

Peter Sedman is Technical Director. Peter graduated with
a degree in Electronic Engineering from the University of Hertfordshire. Peter has a wide range of
technical development knowledge and experience, being responsible for a major financial management
development project at the European Bank of Reconstruction and Development in London. Peter previously
worked as a senior software developer with responsibility for HR systems development at Paladin
Solutions. He has been Technical Director since he co-founded OneClickHR in September 1996. |

| Stephen Oliver ACA, Chief Financial Officer |

Stephen Oliver is Chief Financial Officer and COmpany Secretary. He joined
OneClickHR in April 2006. Having spent the previous 5 years as Chief Financial Officer at Epic Group Plc,
an AIM listed technology company, ultimately seeing its successful acquisition by a publishing group.
Prior to this he worked for an international media group, listed on the London Stock Exchange,
as group financial controller. Within the accountancy profession, Stephen qualified as a chartered
accountant with Grant Thornton and then worked for KPMG. |

| Trevor Townsend Operations Director |

Trevor Towsend Trevor has over 5 years experience
within the group working in many aspects of sales, implementation and software
development. He was appointed Operations Director in October 2008. Experience
outside of the group includes working as a Software Development Manager with
Marconi. |
